Hi legal beagles, I am interested in taking over an A/S company in Denmark. The company owns a property which is financed by a credit/mortgage company , and who have security in the property for approx 1.6 million. In addition the company has a bank loan for approximately half a million kr for which the bank has security for in the property. I want to buy the shares in the A/S for 1 kr, take over the company and therewith overtake the mortgage plus the bank loan. Total loans of 2.1 million. What documents and agreements do I need in writing to secure that I dont expose myself to previous or unknown addition debts/activities in the company? Is it possible to make a simple "cut off" date, so that I am only responsible for the agreements I make on behalf of the company in the future. I am looking for a professional person (lawyer /erhvervs-advokat) who can offer some free professional assistance with regards to this transaction and possibly to take a paid position on the board of the company in the future.
