Hej Eric,

Et SMBA skal markant adskille sig fra et ApS eller A/S i dets kendetegn. Et af disse er eksempelvis at man i et ApS/A/S fordeler overskud efter ejerandele. I et SMBA kan det eksempelvis være efter den omsætning den enkelte deltager har genereret eller den arbejdskraft der er lagt i. Der er ikke tale om et lovkrav. Omvendt er der heller ikke nogen som forbyder jer at have et velgørenhedsheds element i jeres formålsparagraf.

Personligt stejler jeg når jeg ser noget så faktuelt forkert - og tanken går hurtigt hen på hvad der mere er der kan halte.

Ja, det var det første advokaten fortalte os.

Min partner der kører administrationen er ikke i Danmark lige nu, men, skal hurtigt få fat i ham og spørge til det med VELGØRENHED.

Ellers tak for dit input.

ORK ..... der er mange ting der halter ...... vi har fokuseret mere på andre ting end lige standardvedtægter og det ved jeg godt er en fejl, som jeg indrømmer i et andet svar. TID er noget vanskeligt noget i dag. Det er bl.a. også derfor vi evt. søger investorer så vi kan blive aflastet med dygtige folk i management, som er nævnt først i denne tråd.
